The agent compares each clause to your playbook, flags deviations, and drafts redlines with the reason for each change. Every edit is logged and a lawyer signs off.

Without it: Manual contract review is repetitive and inconsistent. Standard positions get missed, and turnaround slows every deal down.

Ranks each deviation by playbook tier, so a fallback reads differently from a walk-away
Drafts the fallback wording the playbook already approved, rather than new language
Lists terms the playbook has no position on separately, unmarked
Redlines land as tracked changes, each comment naming the playbook clause behind it

Illustrative example

A supplier returns MSA-2291 with liability capped at three months of fees. The agent marks it against playbook position LOL-2, which sets twelve, inserts the approved fallback at nine as a tracked change with the reason in the comment, and lists a new audit-rights clause separately because the playbook is silent on it. Counsel takes the fallback, rewrites the audit clause, and signs off on what goes back.
